WorldDECT Ltd. Policies and Procedures WorldDECT Ltd. is not responsible for errors made or insufficient information in the form for membership application. Incorrect information leading to wrong placement or insufficient information rendering the policies and procedures not register able is entirely the responsibility of the member. The distributor’s final placement is declared by e-mail confirmation. The policies and procedures authorize the member to distribute products and services delivered by WorldDECT Ltd.. Efforts made by the member will be compensated by commission, not by salary. “The Policies and Procedure” (referred to below as PP) agreement has been made between The Company WorldDECT Ltd. (referred to below as “WD” and The Independent Member (referred to below as ME) whose identity is defined by the information given in the PP. By confirming that ME has read and accepted this document, the member is authorized to distribute the products and services belonging to WD. 1. Policies and Procedures Agreement: 1.1 ME's Responsibilities - By confirming the option "I agree", the member identified by the contract agrees to all WD´s PP and promises to abide by them. 1.2 Registration requirements - ME is required to follow his/her country's current laws and regulations concerning taxes, value added taxes (VAT) and other government dues. Any required official registrations concerning Company, business activity and similar is the responsibility of ME. 1.3 Period allowed for cancellation - ME has the right to cancel the purchase of membership within 30 days. The membership application fee of €280 is refunded, with any actual, accumulated costs deducted from the amount, including product purchase. 1.4 Training - ME commits to participate in training and information meetings without monetary compensation. He/she declares to have studied the PP issued by WD, the bonus plan and other system generated income plans etc., and agrees to these. 1.5 Conditions between the parties - ME declares to that he/she may only appear as a self-employed tradesman and that there does not exist any conditions of employment between ME and WD. ME run his/her business totally out of his/her own account and risk. ME are not authorized to make agreements on behalf of WD, or in any other way bind WD, except to make customer sales contracts for the products ME is authorized to sell through this agreement. 1.6 Marketing - ME commits to always follow current guidelines from WD concerning sales and marketing activities of WD products, and recruitment of new members. ME commits to not use WD company name or any other name that can be mistaken for the company trademark, logos or similar, without written approval in advance from WD. Further restrictions may come from WD "Rules and Procedures. ME declares that he /she will only use information from information material published by WD in his/her marketing. 1.7 Product purchase - Any purchase of products, services and material from WD is voluntary. Entering into this agreement implies no obligation, now or in the future, to enter into purchase of products of any kind other than the registration & monthly license fee that is mandatory. 1.8 Payment procedure - When ME purchases products and services from the Company, payment is made in advance through WD payment system. 2. WD responsibilities: 2.1 Products - WD commits to execute ME's order as soon as possible upon receiving payment confirmation. 2.2 Marketing material - WD will offer ME various training material, and will inform ME of consecutive changes. WD is responsible for development of marketing material made available to ME. 2.3 Courses and training support – WD will arrange online or live courses & conferences etc. available to ME, intended to provide training and support for ME. 3. Discharge and period of agreement: 3.1 Agreement period - This agreement is of infinite duration. The agreement becomes effective from the moment registration is made at WD. Afterwards; renewal of the agreement is done automatically. 3.2 Termination - This agreement can be terminated, effective immediately, if any of the parties fail to fulfill their obligations. If the agreement is terminated, ME are entitled to receive accumulated commission. WD is entitled to consider detaining part of, or all commission/bonus, if ME does not apply to national and international Trading, commerce, marketing and legal law. Any such activity will be treated by WD as breach of agreement. Termination of agreement is to be made in writing, and posted as a registered letter. 4. Final conditions: 4.1 Transfer - This agreement may be transferred to another party without informing WD. Members transferring the agreement to another person are solely responsible for informing of WD PP, that this agreement has been read and that the person has accepted that any breach of the agreement may lead to expulsion. 4.2 Product responsibility - WD is responsible for all products and services sold by ME through management, on the condition that the purpose for which the product is sold coincides with the products intended purpose. 4.3 Guidelines - ME will in all business activity be subject to WD current regulations. Breach of guidelines may result in immediate termination of ME's membership status in the company. WD may also carry out additional disciplinary actions if deemed necessary. 4.4 Changes - Changes or additions to this agreement is to be made in writing.
